Terms of Service — MakeResume

1. About These Terms

These Terms of Service (“Terms”) form a legally binding agreement between you and Vimatech Ltd (Company Number 17001986), a private limited company registered in England and Wales with registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ (“we”, “us”, “our”, “Vimatech”).

By accessing or using makeresume.io (together, the “Service”), you agree to be bound by these Terms. If you do not agree, you must not use the Service.

These Terms are governed by the laws of England and Wales. If you are a consumer, you benefit from mandatory consumer protection laws in your country of residence, and nothing in these Terms affects those rights.

2. Description of Service

MakeResume is a Software-as-a-Service (SaaS) platform that enables you to create, edit, store, and export professional resumes and cover letters. The Service includes:

Web-based resume and cover letter builder
Multiple professionally designed templates
AI-powered writing assistance (Premium subscription)
Cloud storage for your documents
Export capabilities (PDF, DOCX, TXT formats)
Translation services

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practicable.

3. User Accounts and Eligibility

To use certain features, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your password confidential and secure
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activities that occur under your account

Age requirement: You must be at least 16 years old to create an account. If you are under 18, you confirm that you have parental or guardian consent.

4. Plans, Pricing, and Billing

We offer the following plans:

Free plan: Limited features, no payment required
Single Download: A one-time payment of $7.99 for a single resume download (PDF or DOCX)
Pro (Premium) subscription: $14.99/month (or $7.50/month billed annually) with unlimited downloads, translations, and tailoring

4.1 Subscription Fees

Premium subscriptions are charged monthly or annually depending on your chosen plan
All fees are stated in USD. Applicable taxes (VAT, sales tax) are calculated and collected by Paddle.com Market Ltd as our Merchant of Record
Prices are subject to change with at least 30 days’ notice via email

4.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged using your selected payment method on file. You can disable auto-renewal at any time from your account settings.

4.3 Payment Processing

Payments are processed securely by Paddle.com Market Ltd, who acts as our Merchant of Record. By purchasing, you authorize Paddle to charge your payment method. Payment failures may result in suspension of your Premium features until payment is successfully processed.

4.4 Cancellation

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to Premium features until that date. No partial refunds are provided for unused portions of a billing period, except where required by law.

4.5 Free Trial

We offer a 7-day free trial to new subscribers. By starting a free trial:

You gain immediate access to all Premium features for 7 days at no charge
A valid payment method is required. No charge is made during the trial period
Automatic conversion: At the end of the 7-day free trial, your subscription will automatically convert to a standard monthly Premium subscription ($14.99/month) unless you cancel before the trial expires
Email reminders: We will send you email reminders at: Day 5: “2 days remaining in your trial”
Day 6: “Last chance to cancel before renewal”
Cancellation: You can cancel your trial at any time before day 7 ends from your account settings. If you cancel, you will not be charged, and you will retain access to Premium features until the end of day 7.

4.6 Refunds

Refund requests are handled in accordance with our Refund Policy and applicable consumer protection laws.

UK/EU consumers: If you are a consumer in the UK or EU, you have a legal right to cancel within 14 days of purchase (cooling-off period) under the Consumer Contracts Regulations 2013. However, by using the Service immediately after purchase (e.g., creating premium resumes, using AI features), you expressly request immediate performance and acknowledge that you will lose your right to cancel once the service has been fully performed.

5. Your Content and Data

5.1 Ownership

You retain all intellectual property rights to the content you create using the Service, including text, work history, educational qualifications, and other information you input (“Your Content”).

5.2 License to Us

By using the Service, you grant Vimatech Ltd a limited, non-exclusive, worldwide, royalty-free license to:

Store, process, and transmit Your Content solely to provide and maintain the Service
Create backup copies for data protection, security, and disaster recovery
Use anonymized, aggregated data derived from Your Content for analytics, research, and service improvement

This license terminates when you delete Your Content or close your account, except for backup copies retained for a reasonable period as required by law, regulatory compliance, or legitimate business purposes.

5.3 Your Responsibilities

You are solely responsible for Your Content. You warrant that:

Your Content does not infringe any third-party intellectual property, privacy, or other rights
Your Content does not contain illegal, defamatory, obscene, or offensive material
All information you provide is accurate and not misleading

6. Prohibited Uses

You agree not to use the Service to:

Violate any applicable laws, regulations, or third-party rights
Infringe intellectual property rights of Vimatech Ltd or any third party
Upload viruses, malware, or other malicious code
Attempt to gain unauthorized access to our systems, networks, or other users’ accounts
Interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure
Use the Service for unauthorized commercial purposes (e.g., reselling, white-labeling)
Scrape, copy, reverse-engineer, or extract our templates, software, designs, or proprietary content
Share your account credentials or allow third parties to access your account
Impersonate any person or entity or misrepresent your affiliation
Create multiple free accounts to circumvent usage limits (including resume/export quotas)

Violation of these prohibitions may result in immediate suspension or termination of your account without refund, and we may pursue legal remedies where appropriate.

7. Intellectual Property Rights

All aspects of the Service, including but not limited to templates, designs, software, source code, logos, text, graphics, and user interfaces, are owned by or licensed to Vimatech Ltd and are protected by copyright, trademark, design rights, and other intellectual property laws of England and Wales and international treaties.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended personal or internal business purpose. This license does not include any right to:

Copy, modify, distribute, sell, or create derivative works of our software, templates, or designs (except for resumes you create)
Reverse engineer, decompile, or disassemble any part of the Service
Remove, obscure, or alter any copyright, trademark, or proprietary notices

8. AI-Generated Content

Our Premium subscription includes AI-powered content suggestions, writing assistance, and resume analysis. You acknowledge and agree that:

AI-generated content is provided as an assistive tool only, not as professional career advice or guaranteed employment outcome
You are solely responsible for reviewing, verifying, editing, and approving all AI-generated suggestions before use
We do not guarantee the accuracy, completeness, originality, or suitability of AI-generated content for any specific purpose
You retain full ownership of any AI-generated content you choose to incorporate into Your Content
AI suggestions are based on algorithms and training data and may not reflect current best practices or cultural norms

9. Disclaimers and Limitations of Liability

9.1 Service Availability

The Service is provided “as is” and “as available.” While we strive for high availability and reliability, we do not guarantee:

Uninterrupted, error-free, or secure operation
That defects, bugs, or errors will be corrected within any specific timeframe
Compatibility with all Applicant Tracking Systems (ATS) or recruiting software
Any specific employment outcomes, interview invitations, or job placement success

9.2 Limitation of Liability (Business Users)

To the fullest extent permitted by law, Vimatech Ltd, its officers, directors, employees, and agents shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenues, data, business opportunities, or goodwill
Service interruptions, data loss, or security breaches beyond our reasonable control

Our total aggregate liability to you for any and all claims arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the 12 months immediately preceding the event giving rise to the claim.

9.3 Consumer Rights (UK/EU)

Nothing in these Terms excludes or limits our liability for:

Death or personal injury caused by our negligence or that of our employees or agents
Fraud or fraudulent misrepresentation
Breach of any implied terms as to title, quiet possession, or freedom from encumbrances
Any other liability that cannot be excluded or limited under applicable law

If you are a consumer in the UK, you have statutory rights under the Consumer Rights Act 2015, including the right to receive digital content that is of satisfactory quality, fit for purpose, and as described. If you are a consumer in the EU, you have equivalent rights under EU consumer protection laws. These Terms do not affect those statutory rights.

10. Data Protection and Privacy

We process your personal data in accordance with UK GDPR, the Data Protection Act 2018, and our Privacy Policy. By using the Service, you consent to such processing and warrant that all data you provide is accurate.

11. Termination

11.1 Termination by You

You may terminate your account at any time by deleting it from your account settings or by contacting us. Upon termination, your subscription will be canceled (effective at the end of your billing period) and your data may be deleted after a reasonable retention period.

11.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited uses, or if we reasonably believe termination is necessary to protect Vimatech Ltd, other users, or third parties. Upon termination:

Your access to the Service will cease immediately
Your data may be deleted after 30 days (unless longer retention is required by law)
No refunds will be provided for paid subscriptions, except where required by law
You remain liable for any outstanding fees

11.3 Effect of Termination

Sections that by their nature should survive termination (including intellectual property, disclaimers, liability limitations, indemnification, and dispute resolution) will remain in effect.

12. Changes to Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. We will notify you of material changes by:

Posting a notice on the Service
Sending an email to your registered email address (at least 30 days before the changes take effect)

Continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

13.2 Jurisdiction

Subject to Section 13.3 below, the courts of England and Wales have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms.

13.3 Consumer Rights

If you are a consumer resident in the UK or EU, nothing in these Terms affects your right to rely on mandatory consumer protection laws in your country of residence, or to bring proceedings in the courts of your country of residence.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Vimatech Ltd regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

14.5 Third-Party Services

The Service may contain links to third-party websites or integrate with third-party services (e.g., Paddle for payments). We are not responsible for the content, privacy policies, or practices of third parties.
